1. Agreement to These Terms
By creating an account on sme.smartes.com.ng, you confirm you have read and agreed to these Terms, our Privacy Policy, and our Acceptable Use Policy. Together these form a binding agreement between you and Smartes LTD.
These Terms are governed by the laws of the Federal Republic of Nigeria, including the Nigeria Data Protection Act (NDPA) 2023, the Federal Competition and Consumer Protection Act (FCCPA) 2018, and CAMA 2020.
2. Who Can Use the Platform
You may use Smartes only if:
- You are at least 18 years of age
- You operate a business or are an individual entrepreneur in Nigeria
- You have legal authority to enter contracts for the business you register
- You provide accurate registration information and keep it up to date
- You are not barred from receiving services under Nigerian law
3. Pilot Period & Pricing
π Currently free during our pilot period
You will not be charged. Pilot access does not guarantee continued free access after the pilot ends.
After the pilot, we may introduce fees. We will give you at least 14 days' written notice before any fees take effect. If you do not agree, you may close your account and your data will be handled per Section 9. Continued use after the notice period means you accept the new pricing.
4. Your Account & Security
You are responsible for:
- Keeping your email and password confidential
- All activity that occurs under your account
- Correctly configuring roles when adding staff (OWNER, MANAGER, STAFF)
- Maintaining one account per business β multiple accounts to bypass limits is prohibited
If you suspect unauthorised access, notify us immediately at support@smartes.com.ng.
5. Our Promises to You

Your business data belongs to you. We don't claim ownership.

You can export all your data at any time, free of charge.

We will notify you within 72 hours of any data breach affecting your data.
6. Your Promises to Us
By using the platform, you agree to:
- Use Smartes only for legitimate business purposes
- Comply with all applicable Nigerian laws
- Provide truthful information about your business and customers
- Obtain proper consent from your customers before storing their data on the platform
- Not misuse or interfere with the platform's operation
7. Banned Activities
You may NOT use Smartes to:
- Operate a fraudulent or fake business
- Trade in illegal goods or services under Nigerian law
- Share or sell your login credentials to unauthorised parties
- Hack, reverse-engineer, or compromise the platform's security
- Issue fake invoices or record ghost transactions
- Launder money or evade taxes
- Resell or redistribute the platform without our written consent
8. If You Breach These Terms
For violations, we may:
- Suspend your account immediately without prior warning
- Terminate your account permanently for serious or repeated breaches
- Report criminal activity to relevant Nigerian authorities (Nigeria Police Force, EFCC, NDPC)
You agree to hold Smartes harmless against any claims or costs arising from your breach.
9. Account Closure & Your Data
You may close your account at any time by emailing support@smartes.com.ng.
On closure:
- You can export your data before closure β we recommend doing so
- Your data is retained for 30 days to allow recovery or final exports
- After 30 days, your data is permanently deleted from active systems
- Some data may persist in encrypted backups as required by law
10. Intellectual Property
The Smartes platform β including software, brand name, logos, and trademarks β is owned by Smartes LTD. You are granted a limited, non-exclusive, non-transferable licence to use it while your account is active.
Your data remains your property. We only use it to operate the platform for you and may use anonymised, aggregated insights to improve our services β never to identify you or your customers.
11. Liability & Disclaimers
The platform is provided "as is". We do not guarantee it will be error-free or perfectly suited to your needs.
To the maximum extent permitted by Nigerian law, Smartes is not liable for indirect losses such as loss of profit, customers, or business opportunities.
Our total liability for direct losses during the pilot period is capped at β¦100,000 (One Hundred Thousand Naira). After the pilot, liability is capped at the total fees paid to us in the three months before the claim.
12. Dispute Resolution
We both agree to first try to resolve any dispute through good-faith negotiation within 30 days. If unresolved, disputes are referred to the competent courts of the Federal Republic of Nigeria, seated in Abuja. These Terms are governed by Nigerian law.
